Payment Services Agreement

EventEase Payment Services Agreement

Last Updated: Dec. 16, 2025

This Payment Services Agreement (“Agreement”) is entered into by and between EventEase, LLC (“EventEase,” “we,” “us,” or “our”) and the individual or entity using the EventEase platform to facilitate payments for an event (“Event Organizer,” “you,” or “your”).

This Agreement governs your use of payment-related features available through the EventEase platform and is incorporated into and forms part of the EventEase Terms of Service.

By enabling payments or processing any transaction through EventEase, you agree to be bound by this Agreement.

  1. Role of EventEase

EventEase provides a software platform that enables Event Organizers to facilitate payments in connection with events, including donations, registrations, tickets, sponsorships, contests, and event-related purchases (“Transactions”).

EventEase does not provide payment processing, banking, escrow, custodial, or money transmission services.

All payment processing is performed by third-party payment processors selected or authorized by the Event Organizer (each, a “Payment Processor”).

  1. Direct Processing Model (Default)

All Transactions processed through EventEase operate under a direct processing model, meaning:

  • The Event Organizer (or its designated entity) is the merchant of record.
  • Transactions are processed directly through the Event Organizer’s Payment Processor account.
  • EventEase does not receive, hold, control, or disburse funds.
  • Funds are settled directly by the Payment Processor into the Event Organizer’s designated bank account.
  • Platform service fees and payment processing fees are deducted by the Payment Processor at settlement.

The name appearing on payer statements will be that of the applicable merchant account, not EventEase.

  1. Platform Service Fees

EventEase charges a platform service fee for use of its software and services.

  • Platform fees may be assessed as a percentage of Transactions and may vary by payment method.
  • Platform fees are deducted by the Payment Processor and remitted directly to EventEase.
  • Payment processing fees are determined solely by the Event Organizer’s agreement with the Payment Processor.

EventEase does not control processor pricing, payout timing, reserves, or account restrictions.

  1. Payment Processor Relationship

You acknowledge and agree that:

  • You maintain a direct contractual relationship with your chosen Payment Processor.
  • You are responsible for complying with all Payment Processor terms, policies, and network rules.
  • EventEase is not responsible for Payment Processor outages, delays, reserves, disputes, chargebacks, or account actions.
  1. Settlement Timing

Settlement timing, payout schedules, and fund availability are governed exclusively by the Payment Processor and your account configuration.

EventEase does not guarantee settlement timelines.

  1. Refunds and Disputes

Refunds, chargebacks, and disputes are handled through the applicable Payment Processor and are the sole responsibility of the Event Organizer.

EventEase may provide reporting tools but does not assume financial responsibility.

  1. Event Organizer Responsibilities

You represent and warrant that:

  • You are authorized to collect payments related to your event.
  • Any nonprofit or charitable status claimed is accurate and current.
  • All Transactions relate to bona fide event-related goods, services, or donations.

EventEase does not verify nonprofit status and does not provide tax advice.

  1. Prohibited Activities

EventEase payment features may not be used for illegal activities, misrepresentation, unauthorized gambling or raffles, or activities that violate Payment Processor rules.

EventEase may suspend or terminate access for violations.

  1. Relationship of the Parties

EventEase and Event Organizer are independent contractors.

Nothing in this Agreement creates a partnership, joint venture, fiduciary relationship, or agency relationship.

  1. Limitation of Liability

To the maximum extent permitted by law, EventEase shall not be liable for indirect, incidental, or consequential damages arising from payment-related activities.

  1. Governing Law

This Agreement is governed by the laws of the State of Connecticut.

  1. Acceptance

By using EventEase payment features, you acknowledge and agree to this Payment Services Agreement.
